Role OverviewThe ideal candidate will have substantial experience handling mergers and acquisitions and private equity transactions, drafting and negotiating complex transaction documents, and advising buyers, sellers, and financial sponsors on sophisticated domestic and international transactions.
What You Will Do
Represent clients in mergers and acquisitions and private equity transactions, draft and review primary transaction documents, manage key transaction workstreams, and advise on legal, regulatory, and business considerations.

Requirements
- At least 2 years of experience providing legal analysis and strategic advice regarding mergers and acquisitions, complex corporate transactions, and related deal processes.
- At least 2 years of experience drafting and reviewing primary mergers and acquisitions documents and ancillary transaction agreements.
- Experience participating in negotiations and communicating with opposing counsel regarding major deal issues.
- Experience coordinating with multidisciplinary teams and subject-matter attorneys on regulatory and compliance matters.
- Experience leading key transaction workstreams, including due diligence and closing processes.
- Strong understanding of corporate transaction structures and deal processes.
- Experience reviewing and mentoring on work product prepared by junior associates preferred.
- Familiarity with legal workflow and research technologies, including iManage and Intelligize.
- Experience with legal artificial intelligence tools such as Legora or Kira preferred.
- J.D. from an accredited U.S. law school.
- Admission to the New York Bar required.
