Job Description
Direct Counsel is representing a reputable law firm seeking a Senior Corporate Capital Markets Attorney to join its Corporate Practice. The role involves advising public and private companies on complex domestic and cross-border securities matters, capital raising transactions, and corporate governance issues.

Requirements

  • Advise clients on domestic and cross-border capital markets transactions
  • Draft and review securities offerings, including Rule 144A offerings, S-1, S-3, and S-4 registration statements
  • Assist with securities offerings and M&A-related filings
  • Interact with the SEC and other regulatory agencies on compliance matters
  • Advise public companies on ongoing reporting requirements under the ’34 Act, including 10-K, 10-Q, 8-K filings, Proxy statements, Sections 13 and 16 reporting
  • Counsel public and private companies on capital raising transactions
  • Advise on corporate governance matters for public companies
  • Collaborate with clients and internal teams on complex transactions
